1. Acceptance of Terms
By accessing or using the LabHQ application ("Service") operated by Custom Calibration Company ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms are in addition to our End User License Agreement (EULA) and Privacy Policy, which are incorporated herein by reference.
2. Description of Service
LabHQ is a calibration management system that provides tools for laboratory operations, work order management, quality management, document control, customer portal access, and related services. The Service may include integrations with third-party providers for functionality such as financial reporting, email delivery, and SMS messaging.
3. Account Registration and Security
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.
4. SMS Messaging Terms
LabHQ offers optional SMS text message notifications for service updates. By opting in to SMS notifications, you agree to the following:
- Consent: By providing your mobile phone number and enabling SMS notifications, you expressly consent to receive automated text messages from Custom Calibration Company at the number provided. Consent is not a condition of purchase or use of the Service.
- Message Types: SMS messages may include service alerts, onsite service notifications, work order status updates, and other operational notifications you have subscribed to.
- Message Frequency: Message frequency varies based on your notification preferences and service activity. You control which notification types you receive.
- Message and Data Rates: Standard message and data rates may apply depending on your mobile carrier plan. We are not responsible for any charges from your carrier.
- Opt-Out: You may opt out of SMS notifications at any time by updating your notification preferences in your account settings. You may also contact us at labhq@customcalibration.com to request removal.
- Carrier Liability: We are not liable for delayed or undelivered messages due to carrier network issues, device incompatibility, or other factors outside our control.
SMS messages are delivered via Twilio. By opting in, you acknowledge that your phone number will be shared with Twilio for the sole purpose of message delivery. See Twilio's Privacy Policy for more information.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation
- Transmit any material that is defamatory, obscene, or otherwise objectionable
- Impersonate any person or entity, or falsely state or misrepresent your affiliation
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Attempt to gain unauthorized access to any portion of the Service or any other systems
- Use automated scripts, bots, or scrapers to access or collect data from the Service
- Upload or transmit viruses, malware, or other malicious code
6. Intellectual Property
The Service, including its original content, features, functionality, and design, is owned by Custom Calibration Company and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Service without our prior written consent.
7. User Data and Content
You retain ownership of all data and content you submit to the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you.
You are responsible for ensuring that your User Content does not violate any third-party rights or applicable laws. We do not claim ownership of your calibration data, documents, or other business information stored within the Service.
8. Third-Party Services
The Service may integrate with or contain links to third-party services, including but not limited to:
- QuickBooks Online (financial data and reporting)
- Twilio (SMS message delivery)
- Resend (email delivery)
- Stripe (payment processing)
Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
11. Limitation of Liability
IN NO EVENT SHALL CUSTOM CALIBRATION COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Custom Calibration Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Haven County, Connecticut.
15. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
